ARTICLE I - NAME AND PURPOSE
Section 1 - Name:
This organization shall be called the Aesop
Robinson Golf Association, hereafter referred to as the
Association. The Association is a Private Organization as
classified under AR 210-22.
Section 2 - Purpose:
The purpose of the Association shall be the promotion
and development of friendship and camaraderie through the mutual
encouragement and assistance of the members in matters of recreational
and competitive participation in golf and in support of youth oriented
golf charities and contributions for academic assistance.
ARTICLE II - GENERAL PROVISIONS
Section 1 - Command Consent:
The Association operates only with the consent of the
Commander, Ft. Meade, MD, who may revoke permission to operate at any
time. Also, neither the installation nor the Government will have any
liability for the Associations actions or debts. All Association
operations are contingent on compliance with the requirements and
conditions of AR 210-22.
Section 2 - Members Liability:
(a) The nature of the Association's activities is low
risk. The Association will seek legal guidance for activities which may
require liability coverage. In the event the Association's assets are
insufficient to discharge liabilities, whatever funds that are
contained in the Treasury will be applied to satisfy any outstanding
debts or liabilities. The Association will obtain liability insurance
as necessary IAW AR 210-22, Chap. 3-2.
(b) Income will not accrue to individual members of
this Association. Income accrued will be used solely to pay Association
operating expenses. The Association will comply with applicable audit
requirements IAW AR 210-22, Chap. 3-3.
(c) The Association is an unincorporated association
organized under the laws of Maryland in accordance with Section
11-105CJ, Annotated Code of Maryland, in any cause of action affecting
the common property rights, and liabilities of the Association. A money
judgment against the Association is enforceable only against the assets
of the Association as an entity but not against the assets of any
member. The Association will comply with all Federal, State and local
tax laws IAW AR 210-22, Chap. 3-4.
Section 3 - Agreement:
The Association agrees that it will neither propagate
extremist activities nor advocate violence against others or the violent
overthrow of the Government. Further, the Association agrees that it will
not engage in any activities which will seek to deprive individuals of
their civil rights.
ARTICLE III - MEMBERSHIP
Section 1 - Active Membership:
Active membership in this Association shall be open
to all active duty military personnel, all retired military personnel,
and such other DOD persons, as the membership shall approve.
Section 2 - Associate Membership:
Associate membership shall be open to former members
of the Association who no longer reside in the Baltimore-Washington
area, the immediate family of active members, and all non-golfers who
wish to affiliate with the Association and meet all of the other
requirements for membership.
ARTICLE IV - DISSOLUTION
In case of dissolution of the organization, whatever
funds are contained in the Treasury at that time will be used to
satisfy any outstanding debts, liabilities, or obligations. The balance
of these assets will be disposed of as determined by the membership.
Upon dissolution, the Installation Commander will be notified in
writing.
ARTICLE V - OFFICERS
Section 1 - Elected Officers:
The elected officers of the Association shall be
President, Immediate Past-President, Secretary, Treasurer, Rules and
Handicap Chairperson, Membership Chairperson, Activities Chairperson,
and Chaplain. The term of office for all elected officers shall be two
years, effective with the elections of 2006. The President may not serve
for more than two consecutive terms, and becomes the Immediate Past-President
upon completion of the term.
Section 2 - Appointed Committees/Chairpersons:
The President, in counsel with the Executive
Committee, shall appoint such ad hoc committees and
chairpersons as deemed necessary. They will include: Social Activities
Chairperson, Sergeant-at-Arms, Historian, Parliamentarian, and Web Site
Manager.
Section 3 - Vacancies:
In the event of vacancies of any office, other than
the presidency, the President shall appoint a replacement, with the
approval of the Executive Committee, until the next annual election.
Section 4 - Executive Committee:
The Executive Committee shall consist of the elected
officers of the Association and the Immediate Past-President.
Section 5 - Elections:
Elections shall be conducted during the November
meeting. The President shall appoint a Nominating Committee of
three-to-five members to present a slate of candidates to the Executive
Committee. Association members shall be presented the slate not less
than seven days prior to the election. Additional candidates may be
nominated from the floor by members and added to the slate prior to the
election. A simple majority of members voting at the meeting shall
determine the outcome of elections.
ARTICLE VI - AMENDMENTS
The Constitution may be amended at any meeting of the
Association by a two-thirds majority of the active members present at
such meeting provided written notice of the proposed amendments shall
have been sent to the membership by authorization of the Executive
Committee not less than 30 days prior to the stated meeting. Any such
proposal for constitutional amendment shall, prior to the vote thereon,
be subject to modification in the same manner as for other propositions
submitted for Association action.
